Terms and Conditions of Use

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Juan Ignacio Romano ("KUENTAS", "we", "us", "our") regarding the use of the KUENTAS mobile application and the website kuentasapp.com (collectively, the "Service").

By creating an account, downloading the application, or accessing the Service, you accept these Terms in their entirety. If you do not agree with any part of these Terms, you may not use the Service.

2. Description of the Service

KUENTAS is an application for managing shared expenses on group trips that allows you to:

• Create and manage trips with multiple participants
• Record expenses and split them among participants
• Automatically calculate balances and debts
• Convert expenses between different currencies (165+ currencies)
• View expenses on a geographic map
• Share trip photos with the group (collaborative gallery)
• Manage a shared fund (group pot) for the trip
• Organize itineraries with flights, hotels, and activities
• Create packing and task checklists
• Check real-time weather at your destination
• View statistics, trip history, and achievements (badges)
• Check a world clock with time zones
• Export expense reports to PDF and Excel
• Use Artificial Intelligence features (Premium)
• Lock the app with biometric authentication (fingerprint/face)

3. Registration and User Account

3.1. Registration requirements

To use KUENTAS you must:

• Be at least 13 years of age
• Provide truthful and up-to-date information
• Keep your password confidential
• Notify us immediately if you suspect unauthorized use of your account

3.2. Account responsibility

You are responsible for all activities that occur under your account. KUENTAS will not be liable for losses arising from unauthorized use of your account, unless such use results from our negligence.

3.3. One account per person

Each individual may have only one account. We reserve the right to close duplicate accounts or accounts created with false information.

4. Plans and Features

4.1. Free Plan

The free plan includes:

• Unlimited trip creation
• Up to 10 expenses per month
• Unlimited participants per trip
• Balance and debt calculations
• Currency conversion (165+ currencies)
• Standalone currency converter
• Shared fund (group pot for the trip)
• Trip history and statistics
• Badges and achievements (gamification)
• World clock with time zones
• Offline mode with automatic sync
• Biometric lock (fingerprint/face)
• Push notifications

4.2. Premium Plan

The Premium plan includes all free features plus:

• Unlimited expenses
• Conversational AI assistant (60 questions/day) with quick actions
• Multi-trip intelligence (cross-trip comparison and analysis)
• Voice expense recording
• OCR receipt scanning
• Translation of tickets in other languages
• AI-powered budget prediction
• Expense anomaly detection
• Packing and task checklists
• Trip itinerary (flights, hotels, activities)
• Collaborative photo gallery
• Geolocated expense map
• Category-based budgets
• Real-time destination weather
• Trip memories
• PDF and Excel export
• Automatic daily summary (Daily Digest)

4.3. Changes to plans

We reserve the right to modify the features included in each plan, adjust prices, or discontinue features with reasonable prior notice.

5. Acceptable Use

5.1. You agree to:

• Use the Service only for lawful and personal purposes
• Provide accurate information about the expenses you record
• Respect the privacy of other participants in your trips
• Not upload illegal or offensive content, or content that infringes third-party rights
• Not attempt to access other users' accounts

5.2. The following is prohibited:

• Using the Service for illegal or fraudulent activities
• Attempting to breach the security of the Service
• Reverse engineering or decompiling the application
• Using bots, scrapers, or automated access methods
• Reselling or commercializing access to the Service
• Uploading malware, viruses, or malicious code
• Harassing, threatening, or defaming other users
• Impersonating another person
• Using the Service for spam or unauthorized advertising

6. User Content

6.1. Ownership

You retain ownership of all content you upload to KUENTAS (photos, descriptions, etc.). By uploading content, you grant us a limited, non-exclusive, worldwide license to store, display, and process such content for the purpose of providing the Service.

6.2. Responsibility

You are solely responsible for the content you upload. You warrant that you have the necessary rights to share such content and that it does not infringe third-party rights.

6.3. Content shared in trips

When you upload content to a shared trip, you understand that other participants in that trip will be able to view such content. Please think carefully before sharing sensitive information.

7. Artificial Intelligence

7.1. Nature of AI responses

AI features (assistant, OCR, categorization, predictions) use language models that may generate inaccurate or erroneous responses. AI responses are for guidance only and should not be considered as professional financial, legal, or other advice.

7.2. Context used by the AI

To generate relevant responses, the AI assistant accesses your trip context, including: participants, recent expenses, budgets, itinerary, checklist, countries visited, and previous trip history. This information is sent to the AI provider (OpenAI) exclusively to process your query.

7.3. Actions from the assistant

The assistant may suggest quick actions in its responses (such as recording a payment, viewing the budget, or adding an item to the checklist). These actions require your explicit confirmation before being executed.

7.4. Feedback and ratings

You can rate the assistant's responses with "like" or "dislike". These ratings, along with the associated question and response, are stored to improve the quality of the service.

7.5. Usage limits

The AI assistant has a limit of 60 questions per day. This limit resets daily. We reserve the right to adjust these limits to ensure fair service for all users.

7.6. Appropriate use of AI

You must not use AI features to generate illegal, harmful, misleading content, or content that violates third-party rights. We reserve the right to suspend access to AI if we detect misuse.

8. Financial Information

8.1. Data accuracy

The accuracy of calculations depends on the information that you and other participants enter. KUENTAS does not verify the truthfulness of recorded expenses.

8.2. Exchange rates

Exchange rates are obtained from public sources (DolarApi, ExchangeRate-API) and may differ from bank or exchange office rates. They are for reference only and are updated periodically, but we do not guarantee their real-time accuracy.

8.3. Dispute resolution between users

KUENTAS facilitates the calculation of debts between participants but does not intervene in disputes over amounts, payments, or the truthfulness of expenses. Users must resolve these disputes directly among themselves.

9. Privacy

Your privacy is important to us. Please refer to our Privacy Policy to understand how we collect, use, and protect your personal information.

10. Intellectual Property

10.1. Our property

KUENTAS, including its name, logo, design, source code, features, and content (excluding user content), is the property of Juan Ignacio Romano and is protected by intellectual property laws.

10.2. Limited license

We grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use the KUENTAS application on your personal devices, subject to these Terms.

10.3. Restrictions

You may not:

• Copy, modify, or distribute the application
• Decompile, reverse engineer, or attempt to obtain the source code
• Remove copyright or proprietary notices
• Use our trademarks without written authorization

11. Service Availability

11.1. No guarantee of availability

We strive to keep the Service available, but we do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, updates, technical failures, or other causes.

11.2. Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Limitation of Liability

12.1. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2. Limitation of damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUENTAS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any conduct or content of third parties on the Service
• Content obtained from the Service
• Unauthorized access to, use of, or alteration of your transmissions or content
• Errors in calculations, exchange rates, or AI-generated information

12.3. Liability cap

In no event shall our total liability to you for all claims related to the Service exceed the amount you have paid to KUENTAS in the preceding 12 months, or ARS $10,000 (whichever is less).

13. Indemnification

You agree to defend, indemnify, and hold harmless KUENTAS and Juan Ignacio Romano from any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Content you upload to the Service

14. Termination

14.1. By the user

You may stop using the Service at any time. To delete your account, contact us at hola@kuentasapp.com.

14.2. By KUENTAS

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or for any other reason at our discretion.

14.3. Effects of termination

Upon termination of your account, you will lose access to your data. You may request the export of your data prior to termination. Sections of these Terms that by their nature should survive will remain in effect.

15. Dispute Resolution

15.1. Governing law

These Terms are governed by the laws of the Argentine Republic, without regard to conflict of laws provisions.

15.2. Jurisdiction

Any dispute related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, Argentine Republic.

15.3. Prior mediation

Before initiating any legal action, the parties shall attempt to resolve the dispute in good faith through direct negotiation for a period of 30 days.

16. General Provisions

16.1. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KUENTAS regarding the Service.

16.2. Severability

If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3. Waiver

Our failure to exercise any right under these Terms does not constitute a waiver of that right.

16.4. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.5. Notices

We may send you notices through the app, email, or by posting on our website. Notices sent by email are deemed received 24 hours after being sent.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through a notice in the app or by email at least 30 days in advance.

Your continued use of the Service after the changes take effect constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.
